You agree that all information you provide to "us" will be true, accurate, current, and complete. You represent and warrant that you have the legal right to provide it, and it does not violate any third party`s intellectual property or privacy rights. By uploading, sending, posting, or otherwise providing any information or material, you grant 3PL TEK an unrestricted, irrevocable, worldwide, non-exclusive license to use, reproduce, display, perform, modify, transmit and distribute it. This includes but is not limited to "our" "services", servers, network, and the necessary functions to complete any transaction, service, or request, for you. As well as, any function needed to enhance your experience, function, and performance, in relation to any agreement regarding any business relations between "us" and you. Furthermore, any information or material regarding your business, or businesses you represent in any manner, will not be considered personal information, as listed in "our" Privacy Policy. However, collection of this data may happen by you willingly and/or as requested by "us" to complete a service to you (For further information on what may be gathered from you, reference "our" Privacy Policy). You agree that 3PL TEK is free to use any ideas, concepts, know-how, or techniques that you provide "us" with for any purpose, including creating derivative works.
"our" "services" may have links to other websites or references to information, documents, software, materials and/or services provided by other parties. "we" do not control these websites or resources, nor do "we" provide sponsorships or endorsements for them by implication. You agree that 3PL TEK is not responsible or liable for any content, advertising, or other materials available through these third-party websites and resources and that "we" are not responsible or liable, directly, or indirectly, for any damage or loss caused to you by your use of or reliance on any content, goods, or services available through a third-party website or internet resource.
If you link to any of "our" "services", you agree, pursuant to these Terms and Conditions, to remove and/or disable such link should "we" so demand.
You agree to defend, indemnify, and hold 3PL TEK and its affiliates, partners, agents, and subsidiaries, harmless from all liabilities, claims, and expenses, including attorney`s fees that arise from your use or misuse of "our" "services" or the content, or by your conduct that would constitute a breach of any of these Terms and Conditions by you. "we" reserve the right, at "our" own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with "us" in asserting any available defenses.
The entire content of "our" "services", including but not limited to text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code, and the design, structure, selection, coordination, expression, "look and feel" and arrangement of such content (collectively, "Content") is owned controlled, or licensed by or to 3PL TEK.
The "services" and their content, except for that in the public domain, are protected from unauthorized copying and dissemination by United States laws for copyright, trademark, trade dress, unfair competition, as well as international conventions and other intellectual property laws.
All page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of 3PL TEK or its licensors and may not be copied, imitated, or used, in whole or in part, without "our" prior written permission. 3PL TEK will grant you permission to use a portion of "our" "services", if you do not change or delete any proprietary notices from downloaded or printed materials; copy or post such information on a networked computer; broadcast it in any media; or make any representations or warranties relating to such documents or content.
Other than this limited permission, you may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit or distribute, in any way (including "mirroring") to any other computer, server, website, medium or commercial enterprise, any part of "our" "services" or any content without "our" express prior written consent.

Any claim under these Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred, and any claim by you is subject to the Limitation of Liability set forth above. Claims related to the terms, conditions, and warranties of actual purchased goods and services are not subject to this limitation.

These Terms and Conditions and the resolution of any dispute related to these Terms and Conditions, "our" "services", or their content, will be governed by and construed according to the laws of California without regard to its conflicts of laws principles. Any action to enforce these Terms and Conditions or a matter of dispute arising out of "our" "services", or the content will be held in and subject to the exclusive jurisdiction and venue of the federal and state courts located in Kern County, California.
Failure by 3PL TEK to insist upon strict enforcement of any provision of these Terms will not be construed as a waiver of any provision or right held by 3PL TEK.
If any of these Terms and Conditions are deemed invalid, void, or unenforceable, that term will be deemed severable and will not affect the validity and enforceability of any remaining term.
3PL TEK and other logos, products, and service names are trademarks and service marks owned by or licensed to 3PL TEK or its affiliates (the "Marks"). You agree not to display or use the Marks in any manner without the prior written permission of 3PL TEK or its appropriate affiliates.
